| 摘 要： | 近年来存托凭证计划随着金融金球化趋势的演进而获得了长足发展,成为重要的全球性融资和投资工具。本文从中国存托凭证(CDR)概念的提出入笔,探讨发行中国存托凭证的积极意义与面临的问题,建议在条件成熟的情况下适时推出CDR,阐述了CDR计划有关当事人及其职能,提出CDR基本操作流程设想。

| Abstract: | With rapid development in recent yea rs brought by the financial globaliz ation,the ADR Plan(American Depository Receipt Plan)is becoming an important internatio nal capital raising and investment i nstrument.The ar-ticle explains why the listed compan ies use the ADR -Plan to facilitate th e accession to the US capital market,and why the ADR -Plan seems so attractive to many investors.Beginning with th e concept of CDR(Chinese Depository Receipt ),the author analyzes the positive me aning of issuing the CDR under mature circumstances and comes up with an applicable procedure on the b asis of elaboration on the related parties and their respective function s. |
