| 摘 要： | 中投公司自成立以来，面临着治理结构不明晰、政治目标与商业利益难以兼顾、保护主义造成海外投资和并购困难大、与外汇管理局界线划分不清晰、盈利压力大等一系列问题．针以这些问题，提出了相应的政策建议：实行有效的公司治理机构和激励约束机制、剥离汇金公司、合理地选择投资方向和领域、合理划分中投公司与外汇管理局的投资界限、逐步提高透明度、吸引人才等．

| Abstract: | Since founded, China＇s sovereign wealth funds - China Investment Corporation has met with a series of problems： disorder of governance structure, confliction between political objectives and commercial interests, difficulties of foreign investment and overseas merger and acquisition caused by protectionism, demarcation problems existing between the corporation and State Administration of Foreign Exchange and high profit pressure. To settle these problems, the corresponding policy suggestions were proposed. They should be the actions of setting effective corporate governance bodies and applying incentive mechanism, peeling off Central Huijin Investment Company Limited, choosing suitable investment target and area, rationally defining investment scope between China Investment Corporation and State Administration of Foreign Exchange, gradually increasing transparency and attracting talented people |
