| 摘 要： | 国有企业法律顾问的管制性作用能否发挥，直接关系着企业法律风险能否有效预防和股东（国家）意志能否实现；国有企业的法律顾问隶属于企业，是企业的职工，企业直接决定法律顾问的升迁、晋级；目前，推行国有企业法律顾问制度存有困难，其症结主要体现在法律顾问的事务性工作是隶属主体的需求，但法律顾问的管制性工作与隶属主体的需求相悖；当前，国有企业的法律顾问之隶属体制没有为法律顾问管制性工作提供充分保障；国有企业法律顾问隶属于股东（国家即国务院国资委或省国资委）的新机制是发挥法律顾问管制性功能的制度保障；提出了从保障法律顾问的相对超然地位和保障企业自主经营权之间寻找平衡，重构国有企业法律顾问的隶属体制，不断创新法律顾问机构的工作机制。

| Abstract: | Whether state-owned enterprise legal advisers can play a regulatory role is directly related to whether the enterprise law risk can effectively be prevented and the will of shareholders （country）can be realized.The state-owned enterprise legal counsel belongs to an enterprise,who is employee.Enter-prises directly determine the promotion of the legal counsel.At present,it is really difficulty to put legal counsel system into use,the key problem is that the work of legal counsel is a need of employers,but the work of legal counsel may be opposite to the needs of employers.Now,legal counsel membership system of state-owned enterprises does not provide enough guarantees with the regulatory work of state-owned enterprise legal counsel.The state-owned enterprise legal counsel belongs to the shareholders （the coun-try i.e.state-owned assets supervision and administration commission of the state council and provinces） as a new system is the systematic guarantee to the regulatory affairs of state-owned enterprise legal coun-sel.So the author puts forward an idea in a new angle that balancing the relative detached position of state-owned enterprise legal advisers and enterprise independent management,in order to reconstruct the state-owned enterprise legal adviser membership system,and create new work system of state-owned enterprise legal adviser institute. |
