摘    要:雇员与雇主之间签订的竞业禁止协议是保护雇主商业秘密的一种比较有效的手段,但它同时会带来多方面的权利冲突,因此公权力的介入势所难免。公权力何时、何情况介入,必须有充足的理由。因此,协议的效力判断应以公平原则为指导并从协议的限制目的、对象、范围、期限、地域、领域和补偿等方面综合考虑。

Abstract:The agreement of competition trade inhibition that employees and employers sign is a mean to protect business secret of employers, but it will bring the right conflicts in many aspects at the same time, so the involvement tendency of state power is unavoidable. When it will be common power and what situation get involved, must have sufficient reason. So,the effect of agreement should regard fair principle as guidelines and consider from restriction purpose, target, range, time limitation,region, field and compensating,etc. of agreement synthetically to judge.
