| 摘 要： | 禁止证券内幕交易是国内外证券市场有序发展的必要法律保障，我国目前有关禁止内幕交易的证券立法不能适应我国证券事业发展的现实需要。应对各国证券立法进行比较，分析内幕交易立法价值和构成要件等基本原理，进一步完善我国证券内幕交易民事责任机制。

| Abstract: | Today the inside trade is forbidden all over the world so as to protect the fairness of the securities market. But Chinese legislation of securities cannot meet the needs of the development of the securities market. This article uses foreign legislative practice and theory of the inside trade for reference and puts forward suggestions in an attempt to improve the Chinese legislation of securities by analyzing the theoretical basis of their legislation. |
