| 摘 要： | 公司资本制度是《公司法》的基石。纵观《公司法》的发展历程可见,各国《公司法》中的资本制度大有缓和化趋势。我国最新修订的《公司法》顺应时代的要求,总结了10多年来我国《公司法》实践的经验教训,大胆吸收了国外一些先进的立法经验。根据对公司的信用基础理论的分析与公司资本制度模式的比较,我国新《公司法》的完善和创新是十分成功的。

| Abstract: | Corporate capital system is the cornerstone of company law. From the history of development of company laws,the corporate capital system in many countries company law has already mollified to turn trend greatly.Conforming to the demand of the period,China summarizes experience and lessons of the practice of Company Law for more than ten years and assimilates daringly some advanced legislative experience of other countries.Now,new Company Law has been passed and put in force.According to analysis on the theory of basis of credit of company and the contrast of different patterns of corporate capital system,the improvement and innovation of new Company Law is very successful. |
