| 摘 要： | 在分析金融危机背景下我国企业海外并购所面临的机遇和风险的基础上，就我国企业实施海外并购的保障措施，从企业和政府层面给出了相关建议。得到了金融危机背景下我国企业应以资源获取海外并购为主，在以技术获取型和市场获取型的海外并购中，应将并购目标锁定在中国企业具备优势的机械、电子工业等产品较单纯的行业的结论。

| Abstract: | By analyzing opportunities and challenges that Chinese companies faced under global financial crisis, this paper gives some proposals to Chinese corporations and government on the problem how to merge abroad successfully .This paper also draws conclusions that to acquire resource is the main aim of Chinese overseas merger and acquisition under financial crisis.
