| 摘 要： | 通常人们是在委托代理的理论框架下研究创新型企业的企业家与创业投资家之间的关系，但事实上，企业家和创业投资家之间的关系更像合伙关系。本文利用团队生产理论对创业投资的契约结构进行了分析和解释。

| Abstract: | The relationships between the venture capitalist and the entrepreneur of the venture company have been usually studied in the framework of the principal-agent theory. But in fact, the relationships between the venture capitalist and the entrepreneur are more like the partnership than others. Based on that view, the paper analyzes the contract structure of the venture capital with the team production theory. |
