| 摘 要： | 针对当前高尔夫球俱乐部公司治理机制尚不完善的问题，提出了利益相关者共同治理的构想。在概述高尔夫球俱乐部利益相关者及其利益诉求的基础上，分析了俱乐部与利益相关者的利益冲突及原因，分别对内部参与型、交易契约型和社会督促型三种治理机制的构建进行了阐述，以期通过利益相关者的共同治理，建立以俱乐部为载体、各利益相关者广泛参与的治理形式，完善俱乐部的公司治理。

| Abstract: | In view of the problem that the corporate governance mechanism of golf clubs is not perfect,this paper puts forward the co-governance conception of the stakeholders.On the basis of outlining the golf clubs’ stakeholders and their demands,it analyzes the conflict of interest between clubs and stakeholders and the reasons.It elaborates three managing mechanisms which are internal participation,market transactional governance and social supervision,aiming to establish a kind of governance form which takes the golf clubs as the carrier including shareholders and improve the corporate governance of golf clubs. |
