| 摘 要： | 管理层收购（MBO）是企业并购的形式之一。作为一种制度创新，有助于消除代理人的机会主义行为，使管理者以所有者和经营者合一的身份主导公司运营，从而建立有效的法人治理结构。我国MBO尚属于起步阶段。因此，选取国内多家若干典型案例深入剖析，有助于我们正视问题，并采取相应的对策予以解决。

| Abstract: | Management buyouts （MBO） is one form of mergers and acquisitions. As a innovation system, it can be contribute to eliminate the opportunistic behavior of agents and made managers who take identity of unity between the owners and operators lead the companies＇ operations.Then establish an effective corporate governance structure. As MBO in China is still in the early stage, selecting a number of typical cases to analysis in depth will help us to face the problems squarely and take appropriate measures to solve them. |
