| 摘 要： | 法人治理结构是国有公司建立现代企业制度的核心，是国有公司运行的指挥中心或调控系统。建立完善的公司法人治理结构也是我国国有企业改革的重要目标。本文首先分析了公司法人治理结构的涵义与功能，其次深入研究了我国国有公司法人治理结构中存在的问题，最后提出了建立和完善我国国有公司法人治理结构的具体对策。

| Abstract: | Corporate Management Structure is the core element for state-owned companies to establish the modern enterprise system, and it is the command center and control system for state-owned companies. So it is very important for China＇s state-owned companies to establish the modern Corporate Management Structure. In this paper, firstly, we describe the meaning and the function of Corporate Management Structure; secondly, we analyze the problem of China＇s corporate management structure of state-owned companies; finally, we give some suggestions to perfect the corporate management structure. |
