| 摘 要： | 近期中国企业的海外并购案,由于遭受东道国的各种阻碍,有些企业海外并购过程一波三折甚至无法完成并购,有些企业对并购风险估计偏差也导致海外并购最终失败。因此,企业实施海外并购时,必须全面识别和评估评估并购前、并购中和并购后的各种风险,并能够向并购方提出预警,从而及时预防、化解、控制海外并购风险。

| Abstract: | Recently,overseas mergers of Chinese enterprise are suffered from all various of obstacles,which lead to difficult overseas M&A process of some enterprise and can’t finish M&A.Valuation deviation of M&A risk on some enterprise eventually resulted in lost and defeat.Therefore,the enterprise must be fully distinguish and assess all kinds of risk of M&A and put forward to prevent,control and dissolve effective measures on the M&A risk when it implement foreign M&A. |
