| 摘 要： | 探究中国软件外包企业如何突破发展瓶颈，实现产业升级的问题。通过文献回顾归纳出软件外包业的3种模块化治理模式：成本一交易伙伴型、竞争一战略伙伴型和创新一联盟伙伴型。从全球价值链治理模式的视角总结出一个重要结论：研究软件外包企业升级的关键是将升级方式与价值链治理模式关联起来，处于不同治理模式下的软件外包企业将有不同的升级路径，提出了软件外包企业价值链治理模式的升级路径图。
