| 摘 要： | 为了分析中国和俄罗斯所采取不同的国有企业公司化改造方式的优劣，主要通过比较两国企业在转轨期间所形成各自的所有权结构、资本结构特点，及其相同和不同之处，并试图解释所有权结构对资本结构的影响，最终得出了中国的渐进式改革方案所形成的公司治理结构要相对优异的结果。

| Abstract: | To analyze the advantages and disadvantages of the methods of reforming state -owned enterprises in China and Russia, this paper compares primarily the same and different characteristics of ownership structure and capital construction that China and Russia have formed. We try to explain the impact of ownership structure upon capital structure, and reach the conclusion that the corporate governance structure in the Chinese enterprises gradual company is better that Russian's radical one. |
