| 摘 要： | 2006年中国上市公司100强公司治理评价报告显示：中国百强上市公司治理中其“董事会责任”的治理水平有所下降，其得分之低，以及与2005年相比处于下降趋势，值得特别注意。在运用2006年中国上市公司董事会治理价值前100名的数据资料，从董事会治理的角度出发，通过实证分析找出董事会治理结构中影响公司价值的因素及其影响程度，并对如何改善董事会治理结构和如何提高公司价值提出一些建议。

| Abstract: | The 2006 China＇s top 100 listed companies corporate governance evaluation report shows that ＂the board of directors＇ responsibility＂ in the governance level of China＇s top 100 listed companies has dropped, the low score and the downward trend compared with 2005 deserve our special attention. This paper is to use. The data of top 100 Board Governance value of listed companies in 2006,from the perspective of the board governance, to fred the factors that board governance affects the value of the company and give some advice on how to improve the governance structure of the board and the value of the company. |
