| 摘 要： | 随着现代企业制度的不断完善，如何把独立董事制度正确引入中国的公司治理结构并发挥其作用已经成为一个新的课题，在总结了国内外对公司治理结构中引入独立董事制度的研究和实务的基础上，探讨了如何根据独立董事的基本原理，从形成激励和约束机制入手，设计出符合中国公司具体情况的独立董事制度，并提出在此过程中应注意的问题。

| Abstract: | Along with the improvement of modern corporate system,it is now a new question of discussion on how to introduce independent director system into Chinese corporate governance.Based on the domestic and international experience and studies,the article discussed the design of the independent director system that fit with the Chinese situation.One of the key aspects of the system should be the balance of motivation and constraint mechanism.Some problems that may exist in the process of introducing independent director are also addressed. |
