| 摘 要： | 知识资本是公司核心能力的表现，其协同是并购企业价值创造的重要源泉。但是，知识资本的无形性与复杂性使得协同的实现并非易事。在此，剖析了并购中知识资本系统协同演化的内在机理，并在此基础上建立了知识资本演化的动态理论模型。

| Abstract: | Intellectual capital (IC) presents the core competence of a company,its synergy is the source of value creation in merger and acquisition. It analyses the intrinsic evolvement mechanisms of IC synergy in the course of M&A. On the basis of that,it builds a dynamic evolvement model of these mechanisms. |
