| 摘 要： | 文章从我国上市公司治理的实际出发,依据公司多边治理理论,认为独立董事应当从公司的整体利益出发,而不应该只是中小股东利益的代言人。在董事会决策中站在公司的角度,保护公司的利益免受侵犯。
