| 摘 要： | 建立和完善竞业禁止制度是商业秘密保护的重要手段。我国劳动合同立法对此进行了较详细的规定,建立了比较完整的竞业禁止法律制度。但在具体制度设计上,却存在不完善、不合理的地方,可谓瑕瑜互见。应对涉及竞业禁止条款的几个较为关键的问题,如竞业范围、期限、补偿数额和方式、违约责任等进行改进和创新。

| Abstract: | The establishment and improvement of prohibition of competition system in an important tool to protect trade secrets.China's labor contracts provides this in legislation in detail,establishes a relatively complete legal system of prohibition of competition.However,the specific design of the system,there are imperfect and irrational,It can be described as mixed.prohibition of competition agreement should be involved in several more key issues,such as the scope of industry competition,period,the amount of compensation and the way responsibility for breach of contract,and other improvements and innovation. |
