| 摘 要： | 在证券市场中,为保护投资者合法权益,界定信息披露侵权主体及在什么主观心理状态下承担责任非常必要。由于违法信息披露表现为对披露信息的真实、准确、公平、及时、合法义务的违反,因此,其责任主体应当是对信息披露的真实、准确、公平、及时、合法有影响的人。而这些责任主体并不必然最终承担责任,须考虑主观因素。按照证券市场上信息披露主体的多元性以及对信息披露所尽义务的不同,对责任主体应分别采取无过错责任原则和过错推定原则来确定其最终是否承担责任。

| Abstract: | In order to protect the legal right of the investors in the stock market,it is necessary to confirm the subject of right violation in information delivery and under what psychological circumstances it is done.Illegal information delivery vio-lates the lawin the aspects of truth,accuracy,justice,time and legal responsibility,and the subject of responsibility should be those have influence over the information delivery in the aspects of truth,accuracy,justice,time and legal responsibility,who will not take the responsibility in the end unless the subjective factor is taken into consideration.In accordance with the pluralism of the subject and different responsibilities in information delivery,the subject's final responsibility should be de-cided by the principles of no-error and error-deduction. |
