| 摘 要： | 琼民源、红光实业、大庆联谊等一系列重大欺诈案件表明，上市公司欺诈已成为我国建设规范化证券市场的最主要障碍之一。本文拟对如何证明上市公司已经从事了欺诈行为以及据此确定上市公司的民事责任这两个问题进行比较深入的研究，以期为证券法有关的制度设计和审判实践提供研究性的建议。

| Abstract: | Some cases concerning with frauds of stock componies show the frauds become the main obstacle to construct a normal stock market.In the course of regulating the frauds of stock componies,how to tesity whether stock componies commit frauds or not and then how to determine the civil liability incurred by the frauds are the two essntial items.The article deals with the practices of American security law in this field and provides some suggestions based on them. |
