| 摘 要： | 人本主义要求尊重人、发挥人的价值,求得人的完善。以人为本是公司立法应遵循的基本理念,《公司法》应当从多方面满足以人为本的要求。修订后的《公司法》在公司的变更和解散、公司治理结构、公司法律责任等方面仍有很多不足,有必要进一步加以完善。在修订《公司法》时还应当处理好效率与人本主义的关系。

| Abstract: | Humanism emphasizes human's being respected,the exertion of human's value and human's perfection.Company law should meet the multiple requirements of humanism which is the basic theory underlies the enactment of company law.The current Company Law is in conflict with humanism in the following aspects: the forms of company,the capital systems,the formation,modification and cancellation of company,the management structure and the liabilities of company,which need to be perfected.The amendment of the Company Law should deal reasonably with the relation of humanism and efficiency which has been considered as the core of company law. |
