| 摘 要： | 由于产权和分工制度的发展,交易行为对于资源有效配置具有决定性意义。但机会主义行为、合同不完备和过高的交易成本等原因,破坏了交易行为或者降低了交易效率。而合同法却可以通过强制履行承诺等方式保证交易顺利进行,并利用默示条款填补合同缺口并降低交易成本,减少交易利益的耗散,从而促进和繁荣交易活动。
