| 摘 要： | 我国为了克服国有股、国有法人股"一股独大"的问题、以及保护中小股东利益,引入英美法中的独立董事制度.然而经过数年的实践,独立董事制度在我国运行得并不成功.文章在我国公司法修改之际探讨了完善我国独立董事制度的基本途径.

| Abstract: | In order to deal with the state-owned stock control problem,and protect interest of the minor stock holders,Independent Directors has been transplanted into china from common law,which turns out to be unsuccessful after having been put into effect for several years.This thesis is intended to basic methods to perfect Independent Directors at a time when the law of the Peoples' Republic of China on corporation is being amended. |
