| 摘 要： | 有限责任制度是现代企业制度的基础，我国工业经济体制改革、尤其是国有大中型企业的改革正是在此基础上进行的。但是，10多年来的企业破产实践中却出现了许多非正常的破产行为，这些现象是有限责任制度本身的重大缺陷；股东承担有限的责任是导致这种现象的制度根源。
