摘    要:由于目前我国传媒上市公司都是剥离、分拆、再整合上市的,其控股母公司往往通过关联交易对传媒上市公司的财务和生产经营决策实施控制或施加重大影响,因此交易往往是不公开、不公平、不合理的,是有损公司价值的。

Abstract:As China's listed media companies are splitted,stripped from their parent- media,and then are re-integrated into listed companies,their parent companies,often control or exert significant influence on their listed media company's financial decision-making and implementation of production and management through affiliated transaction.So the transaction is often not open,unfair and unreasonable,and may damage the value of the company.
