公司司法解散制度并不是解决公司僵局的最佳途径.公司司法解散制度适用得当,可以使得公司、股东利益得到良好的保护;但是若适用不当将对公司造成毁灭性的后果,或者权利滥用.因此,适用司法解散制度时应遵循主体维持、竭尽其他救济、利益平衡等原则,而国外还建立了恶意诉讼防范制度、股权强制收购制度、公司分立制度等替代性救济制度,以期解决司法解散异化所带来的问题. 相似文献

司法解散制度作为股东权利救济方式的一种,虽然我国新《公司法》明确赋予了立法上的肯定,特定主体可以在特定情况下请求法院判决解散公司,及时救济自己的合法权益。但由于目前我国立法规定并不完善,存在过于粗糙、可诉性不强等缺陷,尤其是对司法解散诉讼当事人资格认定方面,不仅原告的资格确定不甚明确,对于被告更是完全没有规定。由此,深入研究司法解散诉讼当事人资格认定对我国司法解散制度的适用和完善具有非常重要的理论和实践意义。 相似文献

新《公司法》规定的公司司法解散制度是保护股东权益的一个救济制度，具有很大的功能，但由于规定过于简单、原则、抽象，其不足也是明显的。从指导司法实践角度考虑，建议在《公司法》司法解释中针对公司司法解散制度的原被告主体资格、案件管辖、法院立案审查、解散公司要件认定、举证责任分配、调解程序以及最后的裁判结果等方面做进一步细化规定，从而完善公司司法解散制度，以更好地发挥该制度的积极作用。 相似文献

《公司法》创设了司法解散公司制度,用于破解公司僵局,有利地保障了股东、债权人及社会相关主体的合法权益,但在公司僵局处理制度方面仍存在着诸多缺陷：立法上未明确针对公司僵局进行规范,对公司僵局解决方式过于单一,司法解散公司制度在实体和程序上均存在较大的缺陷,缺乏事前预防公司僵局的机制等。文章提出了完善现行司法强制解散公司制度,引导建立公司章程预防公司僵局机制,创设强制股权置换制度及强制公司分立制度作为司法解散公司的替代措施。 相似文献
