| 摘 要： | 2005年修改的《公司法》规定了上市公司设立独立董事的制度，虽然独立董事制度作为英关法系国家曾经用来完善公司治理结构的一项制度在国外发挥了很大的作用，但对采用不同公司治理结构的中国来说是否适合，本文从几个方面进行了分析，指出当前我国完善公司治理结构的重点应放在监事会而非盲目地引进独立董事制度方面。
