Faced with demanding time constraints and the need to compete and communicate across a global market, firms have engaged in mergers and acquisitions (M&As) to accomplish various objectives, including, but not limited to, increasing growth potential and expanding product lines. Given the vital role of knowledge in the M&A context, the aim of this case study is to explore the literature in the area of M&As from a knowledge perspective and to investigate the knowledge variable in the local Hellenic Post-Merger Integration (PMI) of the Roche Consumer Health division acquired by Bayer, both leading multinational pharmaceutical companies. The study focuses on whether the stakeholders think that one specific factor, namely knowledge transfer, has helped them develop towards one high-performance body, and, if so, what were the most significant experiences leading to this development. We followed a number of employees from both. The results of the study provide a better understanding of the key drivers of the knowledge transfer in a PMI. The critical factors (macro and micro) encourage or discourage knowledge transfer in integrating organizations. The assessment took place approximately six months after the contractual completion of the acquisition and was based on the management and co-workers’ perception of how integration at the Greek Bayer company had progressed. The Orton case study was developed as a complement to the theoretical framework on intangible synergies in the M&A context. It provides a practical perspective regarding the complexities and peculiarities involved in each M&A operation by confronting the conceptual framework with field realities.  相似文献

The paper is reviewing the tools to handle high-order sliding mode design and robustness. The main ingredient is homogeneity which can be checked using an algebraic test and which helps us in obtaining one of the most desired properties in sliding mode control that is finite-time stability. This paper stresses some recently obtained results about homogeneity for differential inclusions and robustness with respect to perturbations in the context of input-to-state stability. Lastly within this framework, most of the popular high-order sliding mode control schemas are analysed.  相似文献

A recent communication has proposed a conjectural procedure for representing a category of optimal control problems in bond graph language [W. Marquis-Favre, B. Chereji, D. Thomasset, S. Scavarda, Bond graph representation of an optimal control problem: the dc motor example, in: ICBGM’05 International Conference of Bond Graph Modelling and Simulation, New Orleans, USA, January 23-27, 2005, pp. 239-244]. This paper aims at providing a fundamental theory for proving the effectiveness of this procedure. The class of problem that the procedure can deal with has been extended. Its application was formerly restricted to linear time invariant siso system. The systems considered now are linear time invariant mimo systems. The optimization objective is the minimization of dissipation and input. The developments concerning the optimal control problem are based on the Pontryagin maximum principle and the proof of the effectiveness of the procedure makes a broad use of the port-Hamiltonian concept. As a result, the bond graph representation of the given optimization problem enables the analytical system, which provides the optimal solution, to be derived. The work presented in this paper is the first step in research with perspectives towards formulating dynamic optimization problems in bond graph and, towards coupling this formulation with a sizing methodology using bond graph language and a state-space inverse model approach. This sizing methodology, however, is not the topic of this paper and thus is not presented here.  相似文献

In this research, we are interested in ERP systems which are common information repositories that are aimed at matching the knowledge, practices, and skills that drive the organization in the best possible way. Can the cognitive and hierarchical models coexist within the same project? What is the impact of ERP on the interconnection between communities? To answer these questions, we rely in particular on the work of Levina and Vaast (MIS Quarterly 29(2):335–363, 2005), which underlines that the modes of interaction between CPs must be mediated by the activation of boundary objects and/or the mobilization of boundary spanners. Finally, this leads us to discriminate between two types of ERPPs (hierarchical/cognitive) and to underline the role of the switch in the ERPP success.  相似文献
