随着经济的发展和交易形式的日益丰富,买卖合同风险负担规则也面临着新的挑战。无论是所有权人负担风险原则还是传统的交付转移风险原则都存在漏洞。在学理上和实践中对于风险的认识还存在分歧,这对风险负担规则的把握十分不利。文章将在明确风险的内涵和外延的基础上探讨两种立法模式的利弊,并坚持应当在采取交付主义的基础上结合我国立法对风险负担规则进行完善。 相似文献

我国《合同法》借鉴国际通行做法和发达国家立法的成功经验,对合同中的风险转移和分配进行了明确规定,在标的物风险负担转移的问题上采取交付主义原则。随着社会经济的快速发展,交易形式日益多样化,导致不同类型合同中的风险负担问题也逐步趋向复杂化。由于风险负担关系到当事人的根本利益,所以深化对合同中风险负担问题的研究,对于合理判定风险负担归属以及当事人应承担何种法律责任具有重要意义。本文在分析《合同法》中风险负担概念及特点的基础上,对不同情况下的风险负担问题进行了探讨。 相似文献

货物所有权转移的时间问题，是货物买卖中的一个最为重要也是最为敏感的问题，本采用比较法的研究方法，在分析与评价关于货物所有权转移的主要立法例的基础上，探讨各国立法协调之可能性，本认为，交付主义为最佳选择模式，尽管关于货物所有权移转的时间采取的立法例不尽相同，但这绝对不意味着没有协调的可能性，就实际情况而言，各国或地区的有关立法对此问题的规定正在走向趋同，即采用交付主义或向交付主义靠扰，各国或地区立法之所以具有协调的可能性，这是由于当代社会经济的国际化，一体化的特点所决定的。 相似文献

在国际货物贸易中,风险移转和责任承担通常采用的是交付主义原则。但在违约情况下产生的风险责任问题则比较特殊。因卖方的违约可能会导致买方的拒收,从而阻碍风险因交付而向买方的移转和责任承担;因买方的违约致使合同货物延迟交付,则有可能使风险提前于实际交付前向买方移转和责任承担。《联合国国际货物买卖合同公约》以及美国《统一商法典》对此作出了特别的规定。我国《合同法》的相关规定借鉴了国际通行规则的做法,但仍存在一些缺陷和不足,应加以修订和完善。 相似文献

《物权法》第九条第一款采用＂登记生效主义＂的不动产物权变动规则忽略了占有在不动产物权变动中的法律地位,既不符合现实不动产交易的需求,也与其他法律法规存在矛盾与冲突,给司法实践中如何适用不动产物权变动规则带来困扰。物权公示与物权变动是两个不同层面的问题,其属性完全不同;交付占有作为不动产物权变动的方式符合安全、效率、公平的价值;从相关立法规范考察,我国法律法规和最高人民法院的司法解释以及外国不动产物权变动立法都赋予了交付具有重要的意义。我国物权法应明确交付在不动产物权变动中的法律效果,交付要件主义加登记对抗主义的不动产物权变动模式应是我国立法和司法的理想选择。 相似文献

The problem on the geometrc inequalities involving an n-dimensional simplex and its inscribed simplex is studied. Aninequality is established, which reveals that the difference between the squared circumradius of the n-dimensional simplex andthe squared distance between its circumcenter and barycenter times the squared circumradius of its inscribed simplex is not lessthan the 2(n-1)th power of n times its squared inradius, and is equal to when the simplex is regular and its inscribed siplex is atangent point one. Deduction from this inequality reaches a generalization of n-dimensional Euler inequality indicating that thecircumradius of the simplex is not less than the n-fold inradius. Using virtual reality for interactive design gives a designer an intuitive vision of a design and allows the designer to achieve a viable, optimal solution in a timely manner. The article discusses the process of making the Virtual Reality System of the Humble Administrator＇s Garden. Translating building data to the Virtual Reality Modeling Language （VRML） is by far unsatisfactory. This creates a challenge for computer designers to do optimization to meet requirements. Five different approaches to optimize models have been presented in this paper. The other methods are to optimize VRML and to reduce the file size.
